Legal advisor to MC Groep on the acquisition of Slotervaart Hospital
Acted as legal advisor to MC Groep in connection with the acquisition of a majority interest in Slotervaart Hospital.
MC Groep, a private healthcare group led by former physician Loek Winter, acquired the interest from the heirs of businessman John Schram. The transaction followed a complex shareholder dispute involving the minority shareholder, the heirs and other stakeholders. The existing case page states that the transaction value was understood at the time to be between EUR 25 million and EUR 35 million and that ING and Achmea had extended support for the transaction.
The legal work related to the transaction, the shareholder context and the implementation of the acquisition. Healthcare transactions require careful attention to governance, continuity of care, stakeholder interests, financing conditions, contractual obligations and regulatory considerations.
This transaction illustrates that M&A in the healthcare sector is not only about price and transaction documentation, but also about governance, public sensitivity and execution in a complex operational environment.
