Legal advisor to Dutch startup on corporate structuring and convertible financing

Acted as legal advisor to a Dutch startup in connection with the structuring of its business and an early-stage financing through convertible loan agreements with several private investors.

The advice covered both the establishment of the Dutch corporate structure and the legal structuring and documentation of the convertible financing.

The legal work included drafting the convertible loan agreements and advising on valuation caps, conversion mechanics, future financing rounds, the future shareholder structure and the position of investors following conversion.

The financing supports the further development and commercialisation of the business.
