Legal advisor to Amadeus on the acquisition of WCC’s HERMES
Acted as legal advisor to Amadeus in connection with the acquisition of WCC’s HERMES solution and business.
Amadeus announced that the acquisition would extend its portfolio and enhance the traveler experience around border and identity processes. The HERMES technology relates to real-time traveller data analysis, border security and passenger screening. The transaction therefore fits within Amadeus’ broader strategy to strengthen its end-to-end travel technology offering.
The legal work included acquisition structuring, transaction documentation and implementation of the transaction. Technology and software transactions require careful attention to IP rights, licensing, contract transfer, data, cybersecurity, service continuity and integration into the existing product portfolio.
