Legal advisor to Harbour BioMed on the acquisition of Harbour Antibodies

Acted as legal advisor to Harbour BioMed in connection with the acquisition of Harbour Antibodies from Erasmus MC Holding, Atlas Holding and other shareholders.

Harbour BioMed is a biotechnology company focused, among other areas, on oncology and immunology. Harbour Antibodies focused on transgenic mouse platforms and antibody technology. According to Harbour BioMed’s press release, Harbour Antibodies was acquired for cash and an equity interest in Harbour BioMed, with the objective of creating a global, oncology-focused biotechnology company.

The legal work related to the transaction documentation, acquisition structure and implementation of the transaction. Life sciences and biotech M&A transactions require careful attention to intellectual property, licensing positions, shareholder interests, research platforms, commercial partnerships and the international structure of the business.

The transaction had a clear cross-border dimension, with activities in Rotterdam, Shanghai and Cambridge. Harbour BioMed stated that the company had R&D operations in Shanghai, business operations in Cambridge and antibody platform innovation operations in Rotterdam.
