Legal advisor to LSV Holding on the sale of Mozard and IenPM to Atabix

Acted as legal advisor to LSV Holding B.V. in connection with the successful sale of Mozard B.V. and IenPM B.V. to Atabix Group.

Through this acquisition, Atabix acquired important domain expertise and new products, further strengthening its position as a software supplier and knowledge partner for e-government and semi-public sector organisations. Atabix focuses on digitising critical processes for semi-public sector organisations through its Atabase software suite.

Mozard is one of the pioneers of case-oriented working and was the first provider of a case management system in the Netherlands. Mozard’s SaaS solutions help semi-public sector organisations improve their services and information management while reducing costs. The Mozard Suite includes, among other things, a case management system, object registration system, document management system, content management system with forms, intranet and customer contact system. IenPM mainly focuses on implementing the Mozard solutions.

The legal work related to the sale structure, transaction documentation, negotiations and implementation of the transaction. Software and e-government transactions require careful attention to IP rights, SaaS contracts, customer relationships with public and semi-public sector organisations, continuity of services, data, implementation obligations, warranties, disclosure and the position of management after closing.

The management of Mozard and IenPM remained involved to work with Atabix’s management on the joint growth strategy and to further support semi-public sector organisations in the development, configuration and implementation of digital solutions.
