Legal advisor to Xsens Technologies on financing by Eastward Fund Management

Acted as legal advisor to Xsens Technologies in connection with secured financing provided by Eastward Fund Management, LLC.

The legal work related to the review, negotiation and implementation of the financing documentation, including a loan and security agreement, an omnibus deed of pledge and a joinder agreement. The financing required alignment between the debt position, security structure, existing shareholder and investor arrangements and the broader financing structure of Xsens Technologies.

Venture debt and secured financing for technology companies require careful attention to security interests, ranking, covenants, negative pledges, events of default, enforcement mechanics and flexibility for future financing rounds. This is particularly relevant for venture-backed technology companies where new financing must fit within the existing cap table, governance framework and growth strategy.
